Terms of service.
By using Dossier you agree to the rules below. They're short on purpose. If anything is ambiguous, email hello@thecloseround.com and we'll clarify in writing.
Who can use it
You need to be 16 or older, with the legal authority to enter a contract. If you sign up on behalf of a company, you confirm you can bind that company to these terms.
Your content stays yours
Source material you upload, the rewritten content Dossier produces from it, and the hosted dataroom that ships from there — all of it belongs to you. Dossier holds a narrow licence: only what we need to render, store, and serve your dataroom on your behalf. We never sell, license, or train on your content.
What Dossier does, what it doesn't
- Dossier is a writing tool, not a fundraising advisor, lawyer, accountant, or broker. It produces a structured narrative; it does not vouch for the accuracy of your numbers, the legality of your representations, or the suitability of your raise.
- The output is informed by a 12-module framework and an LLM. LLMs hallucinate. Review every section before sending it to an investor. Your name is on the dataroom, not ours.
Acceptable use
- Don't upload content you don't have rights to use.
- Don't use Dossier for fraud, market manipulation, securities violations, or anything illegal in your jurisdiction.
- Don't scrape, reverse-engineer, or rate-limit-burst the service. We log everything; abuse gets you cut off without refund.
- Don't share your account credentials. Use the invite flow to grant collaborators access.
Payment
Pricing is what the marketing page says today. We can change prices for new sign-ups; we won't silently change them for an active subscription — material changes get 30-day notice. Refunds are at our discretion; we don't do partial-month proration. Cancel any time from billing settings, your dataroom stays read-only for 30 days before purge.
Termination
Either side can end this at any time. If you cancel, the rules above apply. If we cancel you for cause (acceptable-use breach, charge- back, fraud), your data is purged within 7 days. If we cancel without cause (we shut the service down), you get 30 days' notice and a data export.
No warranty
Dossier is provided “as is.” We don't guarantee uptime, performance, or that the framework will close your round. Don't rely on Dossier as the only system of record for anything important.
Liability cap
To the maximum extent permitted by law, Dossier's aggregate liability is capped at the amount you paid us in the 12 months before the claim. We're not liable for indirect, incidental, or consequential damages — including missed raises.
Governing law
California, USA. Disputes go to courts in Los Angeles County.
Changes
We update these terms when the product changes. The “last updated” date tracks revisions; material changes get a one-line notice from your dashboard.
